Publishing Services Agreement

UK Publishing House – Publishing Services Agreement

You have arrived at the UK Book Publishing House Publishing Services Agreement (“Agreement”), which is a carefully thought-out legal contract to safeguard our business and the Authors who trust us with their rights to intellectual property. Using our publishing platform and services (collectively the “Services”), you accept these terms of this Agreement by using them. In case you disagree with these terms, you must not make use of our Services.

1. Definitions

Except as otherwise specified in this Agreement:

“Author”
is used to describe any person or entity that places Work or a manuscript into print through our Services.
“UK Book Publishing House”
is the publishing house offering services in accordance with this Agreement.
“Manuscript” or “Work”
refers to any literary work, illustrations, drawings, designs, or ancillary material supplied by the Author.
“Confidential Information”
shall include all Information that is not public Information provided by either Party regarding the Services.
“Services”
would comprise editing, formatting, cover design, publishing, distribution, consultancy, advertising, and any other author services offered by UK Book Publishing House.

2. Confidentiality and Non-Disclosure

2.1

Both Parties shall maintain in strict confidence any confidential or proprietary Information furnished to each other by either Party while this Agreement is in effect.

2.2

Confidential Information shall not include Information which:

  • Was previously in the public domain at the disclosure date;
  • Becomes generally known by no breach of this Agreement;
  • Received in good faith from a third party who was under no duty of confidentiality;
  • Was independently developed without reference to or reliance on the Confidential Information.
2.3

The parties agree that neither of them shall disclose any confidential Information to any third party without the prior written consent of the other, and agree to take reasonable steps to maintain such Information.

3. Scope of Services

3.1

UK Book Publishing House shall deliver Services as mutually agreed between the Parties in writing, and the aforementioned Services may comprise editing, proofreading, formatting, cover design, issuance of ISBN, creation of metadata, digital conversion, printing, publishing, distribution, marketing, and consulting.

3.2

Each project’s scope, budget, project timeline, and deliverables will be set out in a separate Statement of Work or Proposal, and upon its acceptance, it will be a binding amendment to this Agreement.

4. Author Responsibilities

4.1

The Author will provide UK Book Publishing House with all material required, such as but not limited to the manuscript, photographs, biography, and approvals or licences as may be necessary (where applicable) in good time.

4.2

The Author warrants that:

  • They are the owner of the Work or have been licensed/authorized to use the Work;
  • The Work does not infringe on any third-party intellectual property rights, trademarks, privacy, or copyrights;
  • The Work is not defamatory or illegal and has no contents that are violative of applicable laws.
4.3

The Author will be involved in editing, approval, and production stages, responding promptly to inquiries and requests that are targeted at ensuring a smooth publishing process.

5. Prices and Royalties

5.1

The Author shall at all times hold 100% of the Work and copyright thereto.

5.2

Since UK Book Publishing House is a self-publishing Services organization, it does not receive any royalties on book sales, only for Service charges, which are fixed.

5.3

Royalties on third-party website sales (e.g., Amazon, IngramSpark, Barnes & Noble, etc.) will be remitted by the aforementioned websites directly to the Author. These sites have fees of 20%–30% (and more, based on print, distribution, and price setup).

6. Payments, Fees, and Refunds

6.1

All payments will be made according to the Statement of Work. Payment is due in advance prior to the Services’ start unless otherwise agreed.

6.2

UK Book Publishing House will provide Services within the given time. In case the Company fails to provide Services due to the lack of reasonable cause, the Author is entitled to claim a partial or full refund depending on the undelivered deliverables.

6.3

No refunds shall be made in relation to Services already completed and delivered in good faith, or delayed due to the Author’s failure to submit material or approvals.

7. Intellectual Property and Licensing

7.1

Except as provided in the said limited right of publication and distribution, no ownership of the Author’s Work is conferred upon UK Book Publishing House.

7.2

The Author grants UK Book Publishing House a non-exclusive, global right to use, reproduce, modify, adapt, distribute, and display the Work for the exclusive purpose of providing the Services and marketing the Work on behalf of the Author.

7.3

UK Book Publishing House is permitted to use the approved extracts and book cover on its website, social media, portfolio, or marketing materials for marketing purposes unless otherwise specified in writing, in particular.

8. Approvals and Creative Control

8.1

The Author will have exclusive creative control of the Work. No significant changes to the design or words will be made without first seeking the prior written consent of the Author.

8.2

The Author is liable for proof checking and approval before publication. Final file approval shall be deemed as consent to publish. Surviving misprints shall not be the responsibility of UK Book Publishing House.

9. Termination

9.1

Either Party may cancel this Agreement by notice in writing if the other Party materially breaches any provision of this Agreement and fails to cure the same within fourteen (14) days after notice.

9.2

Upon termination, the Author shall compensate for Services already rendered prior to the date of termination.

9.3

The provisions regarding confidentiality, ownership, indemnity, and limit of liability shall survive termination.

10. Limitation of Liability

10.1

UK Book Publishing House shall not be liable for indirect, incidental, special, or consequential damages caused by or in relation to the Services.

10.2

In either event, the aggregate cumulative obligation of the Company shall not be more than the aggregate paid by the Author hereunder.

11. Indemnity

11.1

The Author will indemnify and keep UK Book Publishing House free from claims, damages, liabilities, losses, costs, or expenses arising in connection with:

  • Any breach of this Agreement by the Author;
  • Any allegation that the Work violates the rights of any third party;
  • Any content made available by the Author that is illegal, libelous, or contrary to the prevailing laws.

12. Independent Contractor Relationship

12.1

The independent contractor relationship will be between the Author and UK Book Publishing House. No partnership, employment relationship, or joint venture will be created by this Agreement.

13. Force Majeure

13.1

Both the buyer and the seller are relieved of their duty of performance where such performance becomes impossible due to events beyond reasonable control (including, but not limited to, war, pandemic, fire, flood, earthquake, acts of God, or government regulation).

14. Governing Law and Jurisdiction

14.1

This Agreement will be construed and shall be governed by the law of England and Wales.

14.2

Any dispute under or in connection with this Agreement shall be governed by the English courts exclusively.

15. Entire Agreement; Amendments

15.1

This Agreement and this Agreement alone are the full and complete expression of the agreements between the parties with respect to the subject matter of this Agreement.

15.2

No modification, alteration, departure, or in any other way change of this Agreement and no waiving of any provision hereof shall be effective unless by a written Agreement signed by each of the parties to this Agreement.

15.3

This and any change in obligation or lack of obligation shall be in writing, signed by each of the parties, to be effective.

16. Notices

16.1

All written notices under this Agreement shall be served at the addresses provided by each of the parties, personally, by certified mail, courier, or electronic communication with confirmed receipt.

01 Who owns the copyright in a UK Publishing House contract? +
The author. UK Publishing House never takes copyright assignment. The agreement is a fixed-fee services contract — we deliver editing, design, publishing, and distribution; you retain full intellectual property rights from day one and at all times after.
02 What royalty rate do authors receive? +
Authors receive 100% of net royalties from every channel. There are no kickbacks, no shared revenue lines, and no percentage taken on sales by UK Publishing House. Our fee is the project price, paid in stages — book earnings belong entirely to the author.
03 Can I leave the agreement at any time? +
Yes. The contract includes a stage-by-stage exit clause: once a stage (e.g. editing) is paid for, you keep all deliverables from it and can pause or end the project without penalty. There is no long-term lock-in and no exit fee.
04 Is the contract reviewed by a lawyer? +
Every standard contract has been drafted with UK publishing law solicitors and is updated annually. Authors are encouraged to take independent legal advice before signing; the standard agreement is available for solicitor review at no charge before commitment.
05 What happens if there is a dispute? +
The contract specifies a structured dispute pathway — a 30-day good-faith negotiation, then independent mediation through a UK publishing arbitrator if needed. UK courts (England & Wales) have ultimate jurisdiction. Most issues are resolved at the negotiation stage.
